Essen. Vorstand und Aufsichtsratsmitglieder mit großer Mehrheit entlastet; alle Beschlussvorschläge mehrheitlich angenommen
Die Hauptversammlung der RWE Aktiengesellschaft hat heute folgende Aktionärsvertreter für jeweils drei Jahre in den Aufsichtsrat gewählt:
- Frank Appel, Aufsichtsratsvorsitzender der Deutsche Telekom AG
- Ute Gerbaulet, persönlich haftende Gesellschafterin der Dr. August Oetker KG
- Jörg Rocholl, PhD, Präsident der European School of Management & Technology (ESMT Berlin)
- Thomas Westphal, Oberbürgermeister der Stadt Dortmund
Mit Beendigung der heutigen Hauptversammlung sind Prof. Dr. Hans-Peter Keitel, Dr. Erhard Schipporeit und Ullrich Sierau aus dem Aufsichtsrat ausgeschieden. Weiterhin beschlossen die Aktionäre mit großer Mehrheit die Entlastung von Vorstand und Aufsichtsrat, billigten den Vergütungsbericht und stimmten für den Vorschlag der Ausschüttung einer Dividende von 1,00 Euro je Aktie für das Geschäftsjahr 2023; sie wird am 8. Mai 2024 an die Aktionäre ausgezahlt.
Die Hauptversammlung wurde in diesem Jahr erneut virtuell durchgeführt und öffentlich in vollständiger Länge auf der Unternehmenswebsite übertragen. Die Aktionäre konnten sich während der Hauptversammlung live zu Wort melden und Fragen stellen. Insgesamt waren die Stimmen von rund 465 Mio. Aktien vertreten. Das entspricht 62,5 % des stimmberechtigten Grundkapitals (Abstimmungspräsenz im Vorjahr: 66,9 %).

RWE’s Annual General Meeting elects new Supervisory Board members

The Annual General Meeting of RWE Aktiengesellschaft today elected the following shareholder representatives to the Supervisory Board for a three-year term of office:
- Frank Appel, Chairman of the Supervisory Board of Deutsche Telekom AG
- Ute Gerbaulet, Personally Liable Partner of Dr. August Oetker KG
- Jörg Rocholl, PhD, President of the European School of Management & Technology (ESMT Berlin)
- Thomas Westphal, Mayor of the City of Dortmund
At the end of today’s Annual General Meeting, Prof. Dr. Hans-Peter Keitel, Dr. Erhard Schipporeit and Ullrich Sierau resigned from the Supervisory Board. In addition, shareholders ratified the acts of the Executive Board and the Supervisory Board by a large majority, approved the Remuneration Report, and voted in favour of the proposal to pay a dividend of EUR 1.00 per share for the financial year 2023, to be paid to shareholders on 8 May 2024.
This year, the Annual General Meeting was once again held virtually and broadcast in full on the company’s website. Shareholders were able to speak live and ask questions during the meeting. In total, the votes of approximately 465 million shares were represented. This corresponds to 62,5% of the share capital entitled to vote (previous year: 66.9%).
